DOOD LIMITED – GENERAL TERMS AND CONDITIONS OF SERVICE

1. INTRODUCTION
1.1 Agreement: These terms and conditions (“Agreement”) govern the use of DOOD Limited’s (“DOOD”, “we”, or “us”) services by the client (“Client” or “you”). By accepting our services, you agree to be bound by these terms and conditions.
1.2 Confidentiality: Any information exchanged between DOOD Limited and the Client, including project details and correspondence, is considered confidential. Any breach of this confidentiality clause will be pursued by DOOD Limited in accordance with the laws of Hong Kong.
2. SERVICES PROVIDED
2.1 Research and Analysis: We offer in-depth market and competitor analysis, providing data-driven insights that inform a website strategy aligned with your business goals and user needs.
2.2 Strategy Development: Our strategy development service aligns design and content elements with your brand’s objectives. We work to improve conversions, enhance user engagement, and ensure your website fulfills both user and business goals.
2.3 Web Design & UX/UI: We create responsive web designs that provide intuitive navigation and an optimal browsing experience. Our designs ensure your website is visually appealing and functional across all devices.
2.4 Web Development: Our team builds technically robust websites using the latest technologies, ensuring your website is fast, secure, and easy to navigate. We specialize in both custom websites and e-commerce platforms.
2.5 Web Hosting: We provide secure, scalable, and high-speed hosting services that ensure fast load times, minimal downtime, and reliable website performance.
2.6 Search Engine Optimization (SEO): Our SEO services optimize your website’s content, structure, and keywords to improve its visibility and ranking on search engines, attracting more organic traffic.
2.7 Search Engine Marketing (SEM): We offer SEM services that include targeted paid advertising campaigns to drive immediate traffic to your website. This approach ensures visibility and rapid lead generation.
2.8 Social Media Marketing (SMM): Our SMM services engage your audience across platforms like Facebook, Instagram, and LinkedIn. We create customized campaigns that build brand awareness and drive user interaction.
2.9 Website Maintenance & Security: We offer ongoing website maintenance and security services, ensuring your website remains secure, optimized, and up-to-date with the latest technologies. This includes regular updates, security monitoring, backups, and troubleshooting.
3. PAYMENT TERMS AND PRICING
3.1 Payment: Payment for services is due in advance based on the chosen plan. Payments must be made on time to ensure the continuation of services.
3.2 Prepayment Discounts: Clients who opt to pay upfront for annual services will receive a 10% discount on the total cost.
3.3 Payment Schedule and Refunds: All services are prepaid and non-refundable. The first payment (monthly or annual) must be received before project commencement. Subsequent payments are due at the start of each billing cycle.
3.4 Late Payments: If payment is not received on time, late payment fees will apply:
2% of the outstanding balance after 30 days.
4% after 60 days.
10% after 90 days.
3.5 Non-Payment and Suspension: Failure to make timely payments may result in the suspension of services, including website suspension. For monthly plans, suspension will occur after 45 days of non-payment; for yearly plans, suspension will occur after 30 days of non-payment.
4. PROJECT COMMENCEMENT AND DELIVERABLES
4.1 Commencement: The project will commence once the initial payment is received. Delays in payment may result in delays to the project start date.
4.2 Completion: The project is considered completed once the website is publicly launched and the monthly or yearly payment is received.
4.3 Late Deliveries: If delays are caused by the Client (e.g., failure to provide necessary information or materials), DOOD Limited reserves the right to halt work until the required materials are submitted. Projects delayed beyond 90 days will incur additional charges for resuming work, at an hourly rate of HKD 750.
5. CANCELLATION POLICY
5.1 Client-Initiated Cancellations: The Client may cancel the contract by providing 30 days' notice. Upon cancellation, the Client will receive the source code and image files of the website once all payments have been settled.
5.2 Non-Payment and Suspension: In the event of non-payment, services may be suspended or terminated as described above.
5.3 Refund Policy: Services are prepaid and non-refundable. Cancellations after project commencement do not entitle the Client to a refund of any prepaid fees.
6. INTELLECTUAL PROPERTY
6.1 Ownership of Work: Upon receipt of full payment, the Client will own the rights to the website's source code, images, and related materials. DOOD Limited retains rights to proprietary software and frameworks used in the development of the website.
6.2 Source Code: The website's source code will be provided to the Client once all payments have been fully settled.
7. DATA PRIVACY AND SECURITY
7.1 Personal Data: DOOD Limited complies with Hong Kong’s Personal Data (Privacy) Ordinance (PDPO) and will only use the Client’s personal data to fulfill the terms of this Agreement. Personal data will not be shared with third parties unless required by law.
7.2 Data Security: We implement security measures to protect the Client’s data, including SSL encryption and secure hosting. However, DOOD Limited is not liable for any data breaches resulting from third-party services or client-side negligence.
8. LIABILITY AND DISCLAIMER
8.1 Limitation of Liability: DOOD Limited’s liability for any claim arising out of or in connection with this Agreement shall not exceed the total amount paid by the Client for the relevant services.
8.2 Indemnification: The Client agrees to indemnify and hold DOOD Limited harmless from any claims, damages, or liabilities arising from the Client’s use of the website or breach of these terms and conditions.
8.3 Force Majeure: DOOD Limited shall not be liable for any delay or failure in performance due to events outside of its control, including but not limited to natural disasters, technical failures, or government actions.
9. GOVERNING LAW AND DISPUTE RESOLUTION
9.1 Governing Law: This Agreement shall be governed by the laws of Hong Kong.
9.2 Dispute Resolution: Any dispute arising from this Agreement shall be resolved through mediation or arbitration under the Hong Kong International Arbitration Centre (HKIAC) rules.
10. MISCELLANEOUS
10.1 Amendments: DOOD Limited reserves the right to amend or update these terms and conditions at any time. Clients will be notified of any significant changes.
10.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the provisions shall remain in effect.
